1. General
We are Digital Automation Studio GmbH (“Company,” “we,” “us,” and “our”).
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Digital Automation Studio GmbH, concerning your access to and use of our services. You agree that by accessing the services, you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with these Terms and Conditions, you are not allowed to use our services. We recommend that you print a copy of these Terms and Conditions for your records.
2. Intellectual property
We are the owner or the licensee of all intellectual property rights (“IP Rights”) in our services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the services (collectively, the “content”). In providing the services, we may exercise and utilize certain IP Rights. In addition Digital Automation Studio GmbH may use certain of customer’s technology and IP Rights to perform the services. If we ever grant you the permission to post, reproduce, or publicly display any part of our services or content, you must identify us as the owners or licensors of those services or content, and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or display.
3. User representation
By using our services, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Terms and Conditions; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the services through automated or nonhuman means, whether through a bot, script or otherwise; (4) you will not use the services for any illegal or unauthorized purpose; and (5) your use of the services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate the ongoing service with you, and refuse future use of the services.
4. Right to perform consulting services for others
Nothing in this policy shall restrict or limit Digital Automation Studio GmbH from performing consulting or other services to any other entity. Customers agree that we and our employees may provide similar consulting services to any third parties both during and after the term of this agreement.
5. Termination terms
These Terms and Conditions shall remain in full force and effect while you use the services. Without limiting any other provision of these Terms and Conditions, we may, at our discretion and where reasonably necessary, restrict or deny access to the services, in particular where there is a breach of these Terms and Conditions or applicable law. We may also suspend or terminate your access to the services where required to protect the security, integrity, or proper operation of the services, or to comply with legal obligations.
6. Modifications and interruptions to offered services
We reserve the right to change, modify, or remove any of our offered services at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of our services.
In case of any modification, price change, suspension or discontinuance of our services, you will be notified about the change 30 days before the change takes place.
There may be information on the services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the services at any time, without prior notice.
7. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and defined following the laws of Switzerland and yourself irrevocably consent that the court of Zurich shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms and Conditions.
8. Limitation of liability
The services are provided on an “as is” and “as available” basis. While we make reasonable efforts to ensure that the services operate reliably and that the information provided is accurate, your use of the services is at your own risk.
To the extent permitted by applicable law, we exclude warranties that are not expressly stated in these Terms and Conditions, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the services will be uninterrupted, error-free, or free from harmful components.
We are not responsible for inaccuracies, omissions, or errors in content, nor for any damage or loss resulting from the use of, or inability to use, the services, including interruptions, security breaches beyond our reasonable control, or the transmission of harmful elements by third parties.
The services may contain links to third-party websites or services. We do not endorse and are not responsible for the content, products, services, or transactions offered by third parties. Any interaction or transaction between you and a third-party provider is at your own discretion and risk, and you should exercise appropriate care and judgment.
You remain responsible for the data you transmit or generate through your use of the services. While we take reasonable measures to safeguard data within our control, we cannot guarantee that data will always be preserved without loss or corruption. To the extent permitted by applicable law, we are not liable for data loss or corruption resulting from factors beyond our reasonable control.
The services may rely on third-party providers, such as hosting providers, web applications, or other external services. We do not control these providers and therefore cannot guarantee their continuous availability. We are not responsible for service interruptions, downtime, maintenance, or technical issues caused by third-party services.
9. Electronic communications, transactions, and signatures
Visiting our website, sending us emails, and completing online forms constitute electronic communications. By using our services, you consent to receive communications from us electronically, including by email, unless applicable law requires otherwise.
To the extent permitted by applicable law, you agree that agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement for written form. Contracts, declarations of intent, orders, and acceptances may be concluded and documented electronically, including by email or other electronic means, provided that such form is legally permissible.
Nothing in this section affects any mandatory legal requirements for form, signature, or record retention that cannot be waived under applicable law
10. Payment terms
Invoices will be issued at the end of each month or at the beginning of the following month for services performed during that period.
Payment is due within 15 days from the date of the invoice, unless otherwise agreed in writing. If an invoice remains unpaid after this period, it will be considered overdue.
Overdue amounts may accrue interest at a rate of 2% per month, or at the maximum rate permitted by applicable law if lower. In the event of continued non-payment, we may, after reasonable notice, suspend further services until outstanding amounts have been settled.
11. Updates to these Terms and Conditions
We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms and Conditions, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Services after the date such revised Terms and Conditions are posted.
